Board Member Job Description
JOB TITLE: BOARD MEMBER
GENERAL DESCRIPTION: It is important for Board members to agree to
roles and expectations (baseline criteria) in advance of service on
the Board. Board members must be committed to achieving the mission
and objectives of the Association.
RESPONSIBLE TO: Board of Directors and general membership.
Mission
The purpose of the American Animal Hospital Association is to enhance
the abilities of veterinarians to provide quality medical care to
companion animals, to successfully conduct their practices and
maintain their facilities with high standards of excellence, and to
meet the public’s needs as they relate to animals.
Position
The Board of Directors manages the affairs of the Association and
performs duties as required or permitted by the Bylaws. It defines the
priorities and direction for the Association. While day-to-day
operations are led by AAHA’s CEO, the Board-CEO relationship is a
partnership, and the appropriate involvement of the Board is both
critical and expected. Specific Board member responsibilities include:

Working with the staff and CEO to develop and implement a
strategic plan

Approving AAHA’s annual budget, audit reports, and material
business decisions; being informed of, and meeting all, legal and
fiduciary responsibilities
*
Contributing to an annual performance evaluation of the CEO
*
Identifying and recruiting other Board Members
*
Serving on committees or task forces and taking on special
assignments
*
Representing AAHA within the veterinary profession and acting as
an ambassador for the Association
*
Regularly promoting membership in the American Animal Hospital
Association for all classes of members
*
Apprising the Board of developing issues and concerns of the
membership
*
Supporting and communicating to the profession the decisions and
actions taken by the Board
*
Participating in Board evaluations following each Board meeting
and do an annual Board Self/Peer Evaluation
The President Elect and the Vice President shall each serve until the
next annual conference or until the installation of their successors,
at which time the President-Elect shall become President, to serve as
President until the next annual conference or until the installation
of a successor. The Secretary/ Treasurer is eligible to serve a first
term of one year; a second term of two years; and a third term of
three years.
The President serves until the next annual conference or until the
installation of his/her successor, at which time the President becomes
Immediate Past President and serves a one-year term.
Term of Directors
Each director may serve up to a total of three terms. The first term
shall be for one year, the second term for two years and the third
term for three years. Such terms shall be in addition to any unexpired
term to which the director may have been elected. Terms of directors
shall begin and end at the conclusion of each annual conference or
until the installation of their successors.
Board Meetings
Board meetings are currently held three times per year: spring, summer
and fall
Qualifications
Ideal Candidates will have the following Six Key Attributes of Board

1. The ability to think strategically and analytically and to
effectively communicate thoughts and the reasons for them
2. Possession of earned respect of other key stakeholder group members
3. The ability to work well with others as a member of a collaborative
group with group decision-making authority and an understanding of the
fiduciary duties of loyalty, care, and obedience.
4. A demonstrated understanding of the differences between “oversight”
and “supervision.”
5. An earned reputation for emotional maturity, personal integrity,
and honesty.
6. A demonstrated familiarity with the body of knowledge related to
both the process for which the group is responsible as well as the
substantive content of the subject area within which decisions and
choices will have to be made.

Service on the AAHA Board of Directors is without remuneration, except
for travel and accommodation costs in relation to Board Members’
duties.
