ANNOUNCEMENT
Resolutions passed at the
Extraordinary General Meeting held on 17 December 2001
The directors of Yanzhou Coal Mining Company Limited (the “Company”)
are pleased to announce that all the resolutions set out in the notice
of the 2001 first extraordinary general meeting of the Company (the
“Extraordinary General Meeting’) dated 30 October 2001 were duly
passed at the Extraordinary General Meeting held on 17 December 2001.
Further to the issue of the notice of the Extraordinary General
Meeting dated 30 October 2001, the directors of the Company are
pleased to announce that all the resolutions set out in the said
notice were duly passed at the Extraordinary General Meeting held on
17 December 2001. The resolutions related to the approval of certain
connected transactions between the Company and its parent company,
Yankuang Group Corporation Limited (the “Parent Company”), with
respect to the acquisition of railway assets by the Company from the
Parent Company and the entry into of a supplemental agreement relating
to the cross-supply of materials and provision of services between the
Company and the Parent Company, details of which are set out in the
Company’s announcement dated 30 October 2001 and circular dated 22
November 2001.
