AMENDMENT TO THE ARTICLES OF INCORPORATION
OF
EAST TEXAS HEART GALLERY
The original Articles of Incorporation of East Texas Heart Gallery
that were filed with the Texas Secretary of State on October 20, 2005
are hereby amended as follows:
Article 6 – “Purpose” is amended to read as follows:
East Texas Heart Gallery is organized exclusively for charitable and
educational purposes under section 501(c)(3) of the Internal Revenue
Code, or any corresponding section of any future federal tax code.
Specifically, the East Texas Heart Gallery is focused on finding
adoptive homes for children that are legally free for adoption that
the State of Texas has deemed “hard-to-place.” Generally, these are
children who are over eight years of age, in minority or sibling
groups, or burdened with physical or mental handicaps.
Article 7 – “Dissolution” is added as follows:
Upon the dissolution of this organization, assets shall be distributed
for one or more exempt purposes within the meaning of section
501(c)(3) of the Internal Revenue Code, or any corresponding section
of any future federal tax code, or shall be distributed to the federal
government, or to a state or local government, for a public purpose.
Certification:
East Texas Heart Gallery does not have members with voting rights. The
above amendments to the original Articles of Incorporation were
approved by unanimous consent of the Board of Directors at a special
meeting called for this purpose on March 6, 2006.
Signed subject to the penalties imposed by law for the submission of a
false or fraudulent statement.

Per a special meeting held today, March 6, 2006, the undersigned,
being all of the Directors of East Texas Heart Gallery, do hereby
adopt the following amendments to the original Articles of
Incorporation:
